WRITER SERVICE AGREEMENT
This Writer Service Agreement (the "Agreement") is entered into as of the date of account registration or project acceptance (the "Effective Date"), by and between Edullance (the "Platform"), and the independent contractor executing this Agreement digitally (the "Writer").
1. Scope of Services
The Writer agrees to provide freelance writing, editing, research, or content creation services (the "Services") on an independent contractor basis. The specific deliverables, deadlines, word counts, and compensation for each assignment will be detailed within the individual project briefs issued through the Platform dashboard (each a "Project Brief"). The Writer agrees to execute all Services in accordance with the Platform's Editorial Guidelines and specific client instructions provided in the Project Brief.
2. Independent Contractor Status
The relationship between the Platform and the Writer is strictly that of an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employer-employee relationship. The Writer retains full control over the time, place, and manner in which the Services are performed. The Writer is solely responsible for providing their own equipment and tools, and for the payment of all local, state, and federal taxes, including self-employment taxes, incurred from income earned through the Platform.
3. Compensation and Payment Terms
- Rates: The Platform will compensate the Writer at the specific rate agreed upon in the individual Project Brief.
- Milestones: Payments are tied directly to project milestones, including the successful submission and QA approval of the final text.
- Approval Window: Clients and Platform Quality Assistants have a designated review window (typically 3 to 5 business days) to request revisions or approve the work.
- Disbursement: Validated earnings will be disbursed to the Writer's linked account in accordance with the Platform’s standard payment schedule, provided no active disputes exist on the corresponding milestones.
4. Intellectual Property & Copyright Transfer
- Work for Hire: The Writer acknowledges and agrees that all text, data, research, and materials generated during the performance of the Services (the "Work Product") constitute a "work made for hire" to the maximum extent permitted by law.
- Assignment of Rights: In the event that any Work Product does not legally qualify as a work made for hire, the Writer hereby irrevocably assigns, transfers, and conveys all worldwide right, title, and interest in the Work Product—including all copyrights, patents, and trademarks—to the Platform immediately upon creation.
- Waiver of Moral Rights: The Writer permanently waives any moral rights, authorship attribution rights, or integrity rights regarding the published Work Product.
- Platform to Client Transition: The Platform reserves the right to transfer full ownership of the Work Product to its corporate or academic clients upon receiving final payment from said clients. The Writer shall make no claim of ownership or royalty demands after delivery.
5. Quality Standards, Plagiarism & AI Usage
- Originality: The Writer warrants that all Work Product delivered is entirely original, factually accurate, and free of plagiarism, copyright infringement, or unauthorized third-party scraping.
- AI Disclosure: The Platform enforces strict human-led verification workflows. The use of generative AI tools (such as ChatGPT or equivalent LLMs) to generate the core body of text is strictly prohibited unless explicitly authorized in writing within the Project Brief.
- Rejections: Work Product that fails plagiarism scans, AI detection benchmarks, or fundamental grammatical standards will be rejected without compensation, and the corresponding Project Brief will be reassigned.
6. Confidentiality and Non-Disclosure
During the course of providing Services, the Writer may gain access to proprietary business intelligence, upcoming product launches, financial reports, or unreleased academic research belonging to the Platform or its clients (the "Confidential Information"). The Writer agrees to hold all Confidential Information in strict confidence and shall not disclose, publish, or use it for any purpose outside the execution of the assigned project. This obligation survives the termination of this Agreement indefinitely.
7. Non-Solicitation
The Writer agrees that they will not bypass, circumvent, or undermine the Platform to directly solicit, contract with, or accept payments from any client introduced to the Writer through the Platform ecosystem. Any direct communication or off-platform payment arrangements regarding Platform clients will result in immediate termination of the Writer's account and the forfeiture of pending earnings.
8. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice or closing the Platform account. In the event of termination, the Writer shall immediately stop all work on active projects. The Platform will compensate the Writer for any successfully completed, approved, and delivered Work Product up to the exact date of termination.
9. Indemnification
The Writer agrees to indemnify, defend, and hold harmless the Platform, its affiliates, and its clients from and against any claims, losses, liabilities, damages, or expenses (including legal fees) arising directly out of a breach of this Agreement, including claims of plagiarism, copyright infringement, or defamation within the delivered Work Product.
10. Governing Law and Dispute Resolution
This Agreement shall be governed by, and construed in accordance with, the laws of the jurisdiction where the Platform's corporate headquarters are registered. Any disputes arising out of or relating to this agreement that cannot be resolved amicably through the Platform’s internal support system shall be submitted to binding arbitration in the Platform's home jurisdiction.
